Board of Trustees, All Members’ Responsibilities
- Provide vision and leadership to guide the church in the pursuit of its mission and ends
- Serve as a representative of the congregation’s members during Board discussions
- Develop and monitor policies, under UUCN’s policy-based governance model
- Become familiar with policy governance and associated UUCN governing documents (e.g., Bylaws, Policies, and Limitations) and actively monitor their effectiveness
- Monitor the executive function as described in UUCN’s executive linkage policy
- Prepare for and attend monthly UUCN Board of Trustee meetings, engage in discussion and debate, propose and vote on motions acting in the best interests of the congregation
- Attend Board retreats, Annual Meeting-related functions, and other leadership activities such as Feedback & Listening Sessions.
- Be visible and accessible to members of the congregation, actively engaging members in conversation about issues facing the church and the Board, and soliciting members’ input and questions
- Actively participate in church community events including worship, fundraising events, and social justice activities
- Promote stewardship within the church, participate actively in the annual stewardship campaign, and personally pledge generously
- Periodically give the formal Words of Welcome at Sunday morning worship services
- Serve on one or more Board subcommittees including Visioning, Linkage, Monitoring, or Personnel, or as Board representative to Stewardship or Nominating Committee
- Actively relay comments, critiques, and feedback between the board and congregation
- Observe the Board covenant
- Support Board decisions and the philosophy that the Board speaks with one voice
- Refrain from taking other lay leadership roles that would conflict with Board responsibilities
- Take required training such as Safe Congregations, and be willing to undergo UUCN leadership background screening as required
PRESIDENT of the Board of Trustees
- Represents the UUCN congregation and is empowered to speak for the church
- Ensures that the church is governed in accordance with bylaws and governance policies
- Chairs the monthly Board of Trustees meetings and formulates the agenda
- Chairs the Annual Meeting of the church and establishes the agenda; reports on the progress the church has made in the previous year and looks ahead to goals for the coming year
- Leads the Executive Team (church officers)
- Meets with the minister as needed to plan Board meetings and to collaborate on matters of policy
- Leads the Board in its central work of defining and implementing our values, mission, and ends (five-year goals)
- Maintains focus on long-range planning efforts
- Member of the Safe Congregation Response Team
VICE PRESIDENT of the Board of Trustees
- Works as a support and stand-in for the President of the Board as needed
- Recruits and selects delegates for Regional and General Assembly
- Organizes audio-visual components and refreshments for Annual Meetings
- Attend monthly meetings with the President and Minister
- Organizes sign-ups for Words of Welcome for Sunday services and chalice lightings for monthly Board meetings
- Assists in planning Board retreats and Board meetings
- Member of the Safe Congregation Response Team
TREASURER of the Board of Trustees
- Attends quarterly meetings of the Invested Funds Committee
- Acts as liaison between the Invested Funds Committee and the Board as necessary
- Facilitates financial reviews of the church as necessary
- Reviews information in QuickBooks on a monthly basis
- Maintains the church’s balance sheet
- Signs checks that exceed the executive director’s limit
- Checks email regularly to engage as needed if issues arise
CLERK of the Board of Trustees
- Records the minutes of every Board meeting
- Circulates a draft of these minutes, incorporates changes, provides the result for review and approval by the Board, and posts on UUCN website
- Publishes all changes that are approved for UUCN’s governing policies, and posts on UUCN website
- Supports all congregational meetings such as Annual Meeting, according to UUCN bylaws as follows:
- Informs the congregation of each upcoming Annual Meeting
- Solicits annual updates from each committee and team, and posts on UUCN website
- Reviews and certifies the list of congregation members in advance of Annual Meetings
- Checks in the attendees at Annual Meetings, and certifies a quorum
- Records the minutes of Annual Meetings
- Circulates a draft of these minutes, incorporate changes, provide the result to participants and congregation for review, and post on UUCN website
